Agreement to Terms

By accessing and using the services provided by NorthQA OPC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

NorthQA OPC provides software quality assurance and web development services, including but not limited to:

Quality Assurance

  • Dedicated Software QA Team Services
  • AI-Powered QA and Test Automation
  • QA Consulting, Training, and Mentorship
  • Functional, Performance, Security, Mobile, and API Testing
  • CI/CD Integration and Test Framework Setup

Web Development

  • Web Application Development
  • Marketing and Landing Site Development
  • API and Backend Development
  • UI/UX Implementation
  • Performance Optimization and Accessibility
  • Ongoing Maintenance and Support

Service Engagement

All services are provided subject to a separate Service Agreement that will detail specific terms, conditions, scope, and pricing. These Terms of Service provide the general framework for all engagements.

Client Responsibilities

Development and testing engagements depend on timely input from you. You are responsible for providing the content, assets, credentials, and environment access required for the work, and for reviewing and approving deliverables within the timeframes set in your Service Agreement. Delays in these areas may affect agreed schedules and milestones.

Intellectual Property

Any intellectual property developed during the course of our services will be governed by the specific terms outlined in your Service Agreement. Unless explicitly stated otherwise:

  • Our methodologies, tools, and processes remain our intellectual property
  • Test scripts, automation frameworks, and custom source code developed specifically for your project become your property upon full payment
  • Third-party and open-source components remain subject to their own licenses
  • Pre-existing intellectual property remains with its original owner

Third-Party Services

Our work may rely on third-party platforms such as hosting providers, domain registrars, content delivery networks, and external APIs. These are governed by their own terms and pricing, and we are not responsible for their availability, pricing changes, or outages. Fees for such services are your responsibility unless your Service Agreement states otherwise.

Confidentiality

We maintain strict confidentiality regarding all client information and projects. Our team members sign comprehensive NDAs, and we implement security measures to protect your confidential information.

Payment Terms

Payment terms, including rates, invoicing schedules, and payment methods, will be specified in your Service Agreement. Standard payment terms require payment within 30 days of invoice date unless otherwise specified.

Limitation of Liability

While we strive for excellence in our services, NorthQA OPC is not liable for any indirect, consequential, or incidental damages arising from the use of our services. Our total liability is limited to the amount paid for the specific service in question.

Termination

Either party may terminate services as specified in the Service Agreement. Upon termination, you remain responsible for payment of services rendered up to the termination date.

Governing Law

These terms are governed by the laws of the Philippines. Any disputes shall be resolved in the courts of Cagayan de Oro City, Philippines.

Modifications to Terms
